Client Engagements

Any services we provide to clients are governed by a separate written agreement between Softcodeit and the client (the "Engagement Agreement"), which may include a Master Services Agreement, Statement of Work, Non-Disclosure Agreement, or similar documents.

This Website is not an offer of services. Quotes, proposals, and discussions resulting from inquiries through our Website are non-binding until executed in a signed written agreement. Pricing, scope, timelines, and deliverables are determined on a per-engagement basis.

In the event of any conflict between these Terms and a signed Engagement Agreement, the Engagement Agreement shall prevail with respect to that specific engagement.

Intellectual Property

All Content on this Website — including text, graphics, logos, images, design, and software — is owned by Softcodeit or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Limited License to Use the Website

We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Website for personal, non-commercial use. This license does not include any right to:

• Copy, reproduce, or republish Website content without our written permission
• Modify, adapt, or create derivative works from the Website

Client Work Product

Intellectual property rights arising from client engagements are governed by the relevant Engagement Agreement, not by these Terms. Generally, clients own the deliverables produced for them, while Softcodeit retains rights to its underlying methodologies, frameworks, and pre-existing intellectual property.

User-Submitted Content

When you submit information through our contact form, by email, or in other communications with us, you represent and warrant that:

• The information you provide is accurate and not misleading
• You have the right to share the information with us
• Your submission does not violate any third-party rights
• Your submission does not contain unlawful, defamatory, or harmful content

By submitting information, you grant Softcodeit a limited license to use it for the purposes of responding to your inquiry, providing services, and improving our business operations — subject to our Privacy Policy.

Confidentiality

Disclaimers & Warranties

The Website and all Content are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, to the fullest extent permitted by law. Without limiting the foregoing, we do not warrant that:

• The Website will be uninterrupted, error-free, or secure

• The Website is free from viruses or other harmful components
• The results obtained from using the Website will meet your requirements

Limitation of Liability

To the extent that our liability cannot be excluded by law, our total aggregate liability arising from your use of the Website shall not exceed one hundred United States dollars (USD $100) or the equivalent in local currency.

Termination

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Colombo, Sri Lanka, except where mandatory consumer protection laws in your country of residence provide otherwise.

Disputes between Softcodeit and clients arising from Engagement Agreements are governed by the dispute resolution provisions of those specific agreements, which may include arbitration or alternative dispute resolution mechanisms.

Changes to These Terms

We may revise these Terms from time to time at our sole discretion. When we make material changes, we will update the "Last Updated" date at the top of this page and may provide additional notice (such as a notice on the Website or by email to clients).

Your continued use of the Website after changes become effective constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using the Website.

Severability & Entire Agreement

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy and any Engagement Agreements between Softcodeit and clients, constitute the entire agreement between you and Softcodeit regarding the use of our Website and supersede all prior agreements, communications, and understandings.
